D3 BAHAMAS FINTECH FESTIVAL TICKETS – TERMS & CONDITIONS

Welcome to D3 Bahamas FinTech Festival (the “Event”)! We hope you enjoy the Event.

These terms and conditions (“these Terms”) apply between the person, firm, company or other entity specified on your registration form (“you” or “your”) and Finoverse Limited, a limited liability company incorporated in Hong Kong with company number 2565058 which registered address is 3/F., 154 Des Voeux Road Central, Central, Hong Kong (“we”, “our” or “us”) to the purchase of your ticket to, and your attendance at, the Event, whether physically and/or digitally (your ticket being the “Ticket”). Please read them carefully as they contain important information.

By purchasing your Ticket to and/or attending the Event, you agree to be bound by these Terms to the exclusion of all other terms. If you do not agree to be bound by these Terms, please do not purchase the Ticket.

  • The Event

    The Event will be held physically and digitally and will be divided into two elements: (i) the physical part of the Event including main conference, tours and networking which attendees can physically attend at a specific location (the “Physical Event”) and (ii) the virtual Event that attendees can access at a designated online website/platform/application (the “Virtual Event”). Further details regarding the Event, including the proposed agenda, program and location(s) of the Event on each day, are set out at https://www.d3bahamas.com/.

  • Changes to these Terms

    • We reserve the right to modify, vary and change these Terms at any time at our discretion. Such modifications, variations and/or changes to the Terms shall be effective upon the posting of an updated version on this webpage. You agree that it shall be your responsibility to review these Terms regularly and your attendance at the Event after changes have been made to the Terms constitute your acceptance of the revised Terms.

  • Changes to or cancellation / suspension / postponement of the Event

    • We reserve the right to change, modify, or alter any aspect of the Event, without any compensation to you. This website will be promptly updated to reflect any changes, modifications or alterations.  Other than the aforesaid, no notice will be provided unless such changes, modifications or alterations are determined in our reasonable opinion to be material, in which event we will provide you with reasonable notice prior to such changes, modifications or alterations taking effect.

    • Without limitation to Condition 3.1, we may, at any time and for any reason (we will reach you for any update through the provided email address):

      • make alterations to the programme, agenda, speakers, venue, dates, and timings of the Event; and/or

      • cancel, suspend, interrupt or postpone the whole or any part of the Event,

    • Your Ticket grants you access to the Event and not for any specific activities or speakers.

    • You understand, acknowledge and agree that the activities and/or speakers for the Event may be changed and that such occurrence shall not, under any circumstances, entitle you to any claim whatsoever.

  • Your Ticket and the Event

    • To attend the Event, you must hold a valid Ticket. Each Ticket admits one person only.

    • Your registration for the Ticket to the Event will only be confirmed upon our receipt of full and valid payment. All fees for the Tickets are payable in U.S. Dollars.

    • You may cancel your registration in accordance with this Condition 5.3.

      • If your purchased Ticket is a “General Pass” ticket:

        •  you will receive a refund of your fees paid to us (if any) if you cancel your registration 14 days before the Event, subject to an administration charge equivalent to 15% of the total amount of your fees; or

        • we regret that the full amount of your fee remains payable in the event that your cancellation is four weeks or less before the Event or if you fail to attend the Event.

        All cancellations must be sent by email to d3bahamas@finoverse.com and must be received by us as refunds are made on a case-by-case basis. For the avoidance of doubt, telephone cancellations are not accepted.

        You acknowledge and agree that the refund of your fees in accordance with Condition 5.3 is your sole remedy in respect of any cancellation of your registration by you and you accept such refund in complete liquidation of all damages caused by such cancellation, without further or other liability by either party to the other. 

        Unfair term, item (q): excluding or hindering the consumer’s right to take legal action or exercise any other legal remedy, particularly by requiring the consumer to take disputes exclusively to arbitration not covered by legal provisions, unduly restricting the evidence available to him or imposing on him a burden of proof which, according to the applicable law, should lie with another party to the contract.

      • If your purchased Ticket is a “Digital Only Pass” ticket, we regret that such tickets are non-refundable.

    • If at any time in our sole and absolute discretion we decide to cancel the Event due to any reason, we will make an announcement regarding the ticketing issue as soon as practicable.

    • All attendees to the Physical Event must follow the health and safety measures of the Event, including protocols and policies relating to COVID-19. Such requirements and guidelines are set out on https://opm.gov.bs/covid19/.  We may refuse entry to anyone who fails to follow such measures.

    • All attendees to the Physical Event must be in business or smart casual attire. We may refuse entry to anyone deemed inappropriately dressed.

    • The passes representing the Tickets have to be worn at all times during the Physical Event.  All participants are advised to bring along personal identification, as security checks may be carried out at our discretion.

    • By attending the Virtual Event, you acknowledge and agree that you choose to participate in a designated third party live-streaming website / platform / application, and will be subjected to such third party’s terms and conditions. We are not responsible nor liable for such third party sites, and we recommend you to review any terms and conditions when entering such third-party sites. 

    • The login details representing the Ticket to the Event is for your personal and non-commercial use only which may not be shared with individuals besides yourself. For the duration of the Virtual Event we grant you a limited, non-exclusive, non-transferable right to access the Virtual Event and view the content. Save for the aforesaid, no right, title or interest shall be transferred to you.

    • Access to the Event requires compatible devices, and certain software (including third party software) may be required or may need updates, and your view of the Virtual Event may be affected by the performance of these elements. You must have a high speed internet connection in order to access the Virtual Event. When accessing the Virtual Event through a mobile network, your network or roaming network may apply fees for data usage.

    • At all times, acting prudently and in the best interest of the Event and its attendees, we may prohibit any person or persons from attending the Event for any reason (to be stated as far as is possible and not to be unreasonable) and in any such event, we shall not be liable to provide you with any refund or compensation.

  • Transfer of Tickets

    • Holders of “General Pass” tickets transfer their ticket to another person from their organisation (at no additional cost) up to seven (7) days prior to the start of the Event on the ticketing platform.   Failure to do so may result in the replacement being barred from entering the Event.

    • “Digital Only Pass” tickets are non-transferrable.

    • You may not purchase registrations as agent for any third party or sell or otherwise transfer your registration to others, or exploit the registration commercially or non-commercially in any way.

  • Visa requirements / invitation letter

    • It is your sole responsibility to ensure that you can attend the Event, including ensuring that you have the appropriate passport, visas, quarantine requirement and insurance for attending the Event.  If you require a visa to attend the Event, please allow sufficient time for the visa application procedure.

    • To receive an invitation letter for the Event, you must first register and pay for your Ticket in full.  After that, you can request by sending an email to d3bahamas@finoverse.com for an invitation letter.

  • Intellectual Property Rights

    • All rights to the Event belong to us, including any commercial rights and intellectual property rights arising from or in relation to the Event. Nothing in these Terms will act to license or transfer any rights of either party, except as expressly specified. You acknowledge and agree that the copyright and other intellectual property rights and, in all information, and materials provided at or in connection with the Event are owned by us, its affiliates or licensors unless otherwise expressly indicated.

    • Taking photos or videos of a limited part of the event is only allowed for your personal use (for the avoidance of doubt, any commercial purposes or uses are prohibited).

    • By entering an Event, you are entering an area where photography, audio and video recording may occur. By attending the Event, you:

      • consent to be photographed, filmed, and/or otherwise recorded and to the release, publication, exhibition, or reproduction of any and all recorded media of your appearance, voice, and name for any purpose whatsoever in perpetuity in connection with the Event;

      • waive and release any claims you may have related to the use of recorded media of you at the Event, including, without limitation, any right to inspect or approve the photo, video or audio recording of you, any claims for invasion of privacy, violation of the right of publicity, defamation, and copyright infringement or for any fees for use of such record media;

      • grant us a perpetual, royalty free, worldwide licence to use your actual or simulated likeness in connection with the production, exhibition, advertising or exploitation of any film, video and/or audio recording of the Event (or any part of it), in any media (e.g. in future marketing materials). If you have any concerns about this, please notify us prior to attending the Event; and

      • consent to being filmed by police or security staff for the purpose of ensuring public security at the Event and preventing crime.

        You understand and unequivocally agree that all photography, filming and/or recording will be done in reliance on this clause.

  • Badge scanning

    • You may be asked to scan your pass with us or at exhibition booths or session rooms throughout the Physical Event. Such sharing of your personal information is optional.

    • When your personal information is shared at the Event to an exhibitor and/or a sponsor, you agree to receive communications from that entity. Your personal data will be treated in accordance with that entity's privacy policy, and you may unsubscribe from such communications by contacting them directly.

  • Data privacy

    • By registering for the Event, you agree that your personal information as stated in the registration form and provided by you during the Event may be collected, used and disclosed by us (including our partners and authorised agents) for the purpose of the Event, including the facilitating and processing of payment and for business matching.

    • All Ticket holders will automatically be part of the Event app, your profile (your Ticket holding name, company and title) will be discoverable and visible in the app to the other Event attendees. If you wish to be excluded, you can make adjustments within the Event app.

    • We will always respect your privacy, and treat your personal data in accordance with:

  • Liability

    • To the fullest extent permitted by the applicable law, in no event will either party be liable to the other or to any third party for any loss of use, loss of revenue or profit, loss of data, or for any consequential, incidental, indirect, exemplary, special or punitive damages whether arising out of breach of contract, tort (including negligence) or otherwise, regardless of whether such damage was foreseeable and whether or not such party had been advised of the possibility of such damages. Therefore, we exclude:

      • all liability for loss, injury or damage to persons or property at the Event and all liability arising out of or related to this Agreement, whether arising out of or related to a breach of contract, tort (including negligence) or otherwise;

      • all indemnities, warranties, representations, terms and conditions (whether express or implied); and

      • any actual or alleged indirect loss or consequential loss howsoever arising suffered by you or any loss of profits, anticipated profits, savings, loss of business revenue, loss of business, loss of opportunity, loss of goodwill, or any other type of economic loss (whether direct or indirect).

    • If we are liable to you for any reason, our total liability to you in relation to the Event (whether under these terms or conditions or otherwise) is limited to and shall not exceed the amount of fees paid by you and received by us.

    • To the fullest extent permitted by the applicable law, we shall not be liable to you for any loss, delay, damage or other liability incurred resulting from or arising in connection with the cancellation or date change of the Event howsoever arising or any venue change.

    • You are responsible for your own valuables, and we will not be liable for any loss or damage to personal property brought to the Event.

    • Views expressed by all speakers at the Event are their own. We are not liable for any advice given or views expressed by any speakers or in any materials provided to attendees.

  • Prohibited material and behaviour

    • We prohibit the following from the Event:

      • illegal drugs, substances or materials;

      • any political materials;

      • any unauthorised materials for trading (including any goods or items using unauthorised event logos or brands); and

      • any other item which (in our opinion) interferes with the safe or effective operation of the Event.

    • We prohibit the following behaviour at the Event:

      • unauthorised photography or use of recording equipment and zoom lenses, audio visual or cinematographic devices;

      • unauthorised merchandising;

      • harassment which includes verbal comments that reinforce social structures of domination related to gender, gender identity and expression, sexual orientation, disability, physical appearance, body size, race, age, religion, sexual images in public spaces, deliberate intimidation, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention; or

      • any other act which (in our opinion) interferes with the safe or effective operation of the Event.

    • We may (at our sole discretion) refuse admission to, or eject from the Event, any person in our absolute discretion without liability to such person, including (without limitation) any person who fails to comply with these terms and conditions or who in our reasonable opinion represents a security risk, nuisance or annoyance to the running of the Event.  You agree to comply with all reasonable instructions issued by us or the venue owners at the Event. 

  • Force majeure

    1. We are not liable for any delay or failure to perform these Terms (including hosting the Event) to the extent such delay or failure is caused by any Force Majeure Event.  For the purposes of these Terms, “Force Majeure Event” means any circumstance outside of our reasonable control, and includes by way of example only the following:

      • acts of God, flood, drought, earthquake or other natural disaster;

      • epidemic or pandemic;

      • terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations;

      • any law or any action taken by a government or public authority;

      • collapse of buildings, fire, explosion or accident;

      • any labour or trade dispute, strikes, industrial action or lockouts;

      • non-performance by suppliers or subcontractors;

      • interruption or failure of any utility or public transportation service in the Bahamas;

      • any event outside of our control that has an adverse effect on the Event, including:

        • any public demonstration or protests; or

        • any governmental action that has a material adverse effect on the Event; and

      • any other circumstance outside of the Organiser's control that leads the Organiser to believe (acting reasonably) that the Event cannot be safely or effectively hosted, or where significant changes would need to be made to the Event in order for it to be hosted.

  • General
    • We may assign any of our rights and obligations under these Terms to any third party.

    • These Terms are governed by interpreted, enforced and construed in accordance with the laws of The Commonwealth of The Bahamas, and the parties hereto expressly agree that any disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts of the said Commonwealth.
